Buyer (Customer): the natural or legal person who opens an account on spare-part-b2b.com and declares their billing details in the order form.

2. Subject

This agreement sets out the rights and obligations of the parties regarding the “B2B ordering portal” software service (the Service) purchased electronically by the Buyer at https://yedek-parca-b2b.com. The Service covers setting up, operating, backing up and updating a portal dedicated to the Buyer on the Seller's servers.

3. Main characteristics and price

• The scope, price and billing period of the Service are shown on the checkout screen at the time of order and are kept in the Buyer's dashboard.
• For payments in Turkish lira, VAT (20%) is added at checkout. For payments in foreign currencies, taxes are calculated by the payment intermediary according to the Buyer's country.
• The price is charged in advance at the start of the selected period (monthly or yearly).

4. Performance

• For card payments, the Service is set up automatically after the payment is confirmed. For bank transfers, setup starts once the payment has reached the Seller's account and has been confirmed.
• The portal address and administrator login are shown in the Buyer's dashboard.

5. Renewal

• For card payments, the subscription renews automatically at the end of the period at the price valid on that day. Price changes are notified by email at least 30 days before renewal.
• For bank transfers, the Seller notifies the Buyer by email before the period ends.
• The Buyer may choose a period change (monthly ↔ yearly) in the dashboard. The new period starts at the end of the current period; no refund or credit is given for the paid period. For card payments, automatic renewal is stopped and the new period is paid in the dashboard before the current period ends.
• If the renewal is not paid, the Service is suspended 7 days after the end of the period. Data is kept for 60 days from the suspension date.

6. Withdrawal, refunds and cancellation

As the Service is performed electronically and immediately after payment with the Buyer's consent, there is no right of withdrawal under Article 15 of the Turkish Distance Contracts Regulation. No refunds are made for a paid period. The Buyer may cancel the subscription at any time; the Service can be used until the end of the period and no refund is made for the remaining time. 7. Obligations

• The Seller undertakes to provide the Service with reasonable care and continuity, to back up data regularly and to apply security updates.
• The Buyer is responsible for the lawfulness of the data uploaded to the portal and for the security of user accounts.

8. Disputes

Turkish law applies. For Buyers qualifying as consumers, Consumer Arbitration Committees and Consumer Courts are competent; for other Buyers, the courts and enforcement offices of the province of İstasyon Mah. Yarımburgaz Cad. İstasyon 24 Rezidans No: 31 İç Kapı No: 65 Küçükçekmece / İstanbul are competent.

9. Entry into force

By confirming the order form, the Buyer declares that they have read and accepted all terms of this agreement. The agreement enters into force on the date the order is confirmed.
